Terms of service and sale

Last updated 21 October 2026

1. Scope

These terms apply to all product testing services provided by QUASYN LABS (“MRRup”, “we”) and to the use of mrrup.io and the client dashboard. Our services are for businesses only, not consumers. Each engagement is defined in a written proposal (the “proposal”); if the proposal and these terms differ, the proposal prevails. Your own purchasing terms do not apply unless we accept them in writing.

2. Our services

Our testers use your product like new customers, within the scope agreed in the proposal: usually signup, onboarding, upgrade and checkout, and the core paid features. We then deliver a report of the bugs, confusing steps and obstacles we found, with a recommended change for each.

We identify problems and recommend changes; we do not implement them. Testing covers the agreed scope only. It is not exhaustive testing of every feature, device or browser, and it is not a security audit or penetration test. We do not guarantee any result, such as more customers, revenue, conversions or a higher sale price.

3. Ordering

We send a proposal stating the scope, price, timing and access arrangements. An engagement starts when you accept the proposal in writing (email is enough) and, if the proposal requires it, pay the stated deposit.

4. Access and test subscriptions

You give us the access needed for the agreed scope: accounts, a test environment or paid plans. Where testers buy subscriptions or make purchases in your product, the proposal states the budget and who pays for them.

Purchases made for a test are test transactions, not organic customers. Unless agreed otherwise, they are cancelled or refunded at the end of the engagement. You must not present revenue from test transactions as organic customer revenue to any third party, including investors, prospective buyers and marketplaces, and you are responsible for any statement you make about your metrics. You will indemnify us against claims arising from such statements.

5. Your responsibilities

You confirm that you are entitled to have the product tested, that the product and the agreed tests are lawful, and that you will tell us in advance about any restriction (such as production data we must not touch). Where testers may see personal data in your product, we act as your processor: we use it only to carry out the test on your instructions, keep it confidential and secure, bind our testers to confidentiality, and delete it and any credentials at the end of the engagement. We will help you meet your own obligations on request.

6. Prices and payment

Prices are those in the proposal, in euros. VAT: Not applicable, article 293 B of the French General Tax Code (CGI). Payment is made by card or bank transfer through our payment provider. Invoices are due on receipt unless the proposal sets another date, and never later than 30 days after the invoice date.

Late payment automatically incurs interest at the European Central Bank’s refinancing rate plus 10 percentage points, and a fixed €40 recovery fee under article L441-10 of the French Commercial Code, without prior notice. We may suspend work while an invoice is overdue.

Recurring services renew for each billing period until cancelled. You can cancel at any time from the billing page of your dashboard; cancellation takes effect at the end of the period already paid.

7. Cancellation and refunds

If you cancel before testing starts, we refund what you paid, minus costs already incurred for your project, such as subscriptions bought for the test. Once testing has started, the work done is due. As a business customer, you have no statutory right of withdrawal.

8. Delivery

We deliver the report by email or in your dashboard on the agreed date. If you believe the report does not cover the agreed scope, tell us within 7 days of delivery and we will complete it at no extra cost. After that, the report is considered accepted.

9. Confidentiality

Each party keeps the other’s non-public information confidential, including your product, credentials, metrics and our findings, and uses it only for the engagement. This obligation lasts for 3 years after the engagement ends. We will not name you as a client without your permission.

10. Intellectual property

You keep all rights in your product. Once paid in full, you may use the report freely for your business. We keep the rights in our methods, templates and know-how, and may reuse general lessons that do not identify you.

11. Liability

We perform our services with reasonable care and skill, under a best-efforts obligation. We are not liable for indirect losses, including lost revenue, profit, business, valuation or data. Our total liability for an engagement is limited to the amount you paid for it. Nothing in these terms limits liability for fraud or gross negligence, or where the law does not allow it.

12. Force majeure

Neither party is liable for a delay or failure caused by an event beyond its reasonable control, as defined by article 1218 of the French Civil Code.

13. Website and dashboard

The client dashboard is available only to invited accounts. Keep your sign-in secure and do not try to access data that is not yours. We may suspend an account used in breach of these terms. We aim to keep the website and dashboard available but do not guarantee uninterrupted access. Examples on the website are fictional illustrations, not client results.

14. Personal data

Our privacy policy explains how we handle personal data.

15. Changes

We may update these terms. The version in force when you accept a proposal applies to that engagement.

16. Law and disputes

These terms are governed by French law. We will first try to settle any dispute amicably; contact us at contact@mrrup.io. Failing that, the competent courts of Paris have exclusive jurisdiction.
